Summary
Under attorney direction, the Paralegal will be responsible for supporting the Legal Department’s corporate governance processes, entity formations and maintenance, signature coordination, document management, transaction coordination, and general legal administrative matters.
Principal Responsibilities/Key Results Areas
- Coordinate the review, execution, distribution, and filing of various agreements and legal documents
- Coordinate the formation, registration, and dissolution of legal entities, including through preparation of formation documents (such as certificates of incorporation and limited liability company agreements) and communication with registered agents
- Prepare and maintain corporate and contract tracking logs, including legal entity organization charts
- Maintain records and document management systems
- Assist with the organization and population of virtual data rooms
- Support transaction administration, including closing checklists
- Coordinate bank “KYC” processes
- Draft form agreements
- Facilitate insurance documents with insurance broker
- Prepare document redlines and redactions
- General word processing and document compilation
- Assist with Attorneys’ and Paralegals’ day-to-day requests

- Day-to-day training and oversight provided by attorneys
- Provides support to other members of the Legal Department
- Communicates regularly with other Departments
- External interactions may include registered agents, insurance brokers, outside counsel firms, counterparties, and landowners
Requirements
Knowledge & Skills
- Experience working with contracts and maintaining document management systems
- Excellent organizational and planning skills
- Excellent verbal and written communication skills
- Strong interpersonal and diplomatic skills
- Thorough knowledge and experience with Microsoft Word, Outlook, PowerPoint, and Adobe Acrobat Professional.
- Experience with Excel, Teams, SharePoint, virtual data rooms, and DocuSign helpful.

Experience & Education
- Bachelor’s degree or equivalent experience
- Paralegal Certification is a plus
- Minimum of 2 years related experience (role will be tailored to experience level and more experienced candidates are encouraged to apply)
- Previous law firm or in-house corporate/contracts legal experience preferred
